Wholesale terms

Last updated October 2026. Draft for legal review. The terms that apply when a business buys from us in bulk.

Draft for legal review. These terms are a working draft and must be reviewed by a Kenyan lawyer before publishing. Highlighted bracketed items, including account documents, minimum order quantities, deposit and credit terms, lead times, the defect reporting window and resale rules, still need to be confirmed.

1. Scope

These wholesale terms apply to purchases from Jambo Fashion House by businesses and organisations buying for resale, uniforms, teams, events or corporate use ("wholesale customers"). They apply in addition to our general terms and conditions. Where the two conflict for a wholesale order, these wholesale terms take priority. Consumer-facing policies such as the returns and exchanges policy do not apply to wholesale orders except where stated here.

Wholesale customers buy in the course of business, so consumer protection rules written for individual shoppers may not apply in the same way. We nonetheless aim to deal fairly and transparently with every customer.

2. Opening a wholesale account

  • Start by sending an enquiry through our wholesale page with your business details and the products and quantities you are interested in.
  • We may ask for supporting documents before approving an account: [Confirm: required documents, for example business registration certificate, KRA PIN and ID of the signatory].
  • Approval is at our discretion. An approved account gives you access to wholesale pricing and, where agreed, payment by bank transfer.
  • You must tell us if your business details change, and you are responsible for orders placed by people you authorise to act for you.

3. Pricing and minimum orders

  • Wholesale prices are quoted in Kenyan Shillings and [Confirm: include or exclude VAT].
  • Wholesale pricing applies to orders meeting our minimum order quantity or value: [Confirm: minimum order quantity or value]. Orders below the minimum are charged at retail prices.
  • Tiered pricing may be offered for larger volumes and will be shown on your quote.
  • Prices in a quote are valid for [Confirm: quote validity period]. After that they may change with our costs, including supplier prices and exchange rates.

4. Quotes, orders and confirmation

  1. We send you a written quote listing products, sizes, colours, quantities, unit prices, delivery costs and lead time.
  2. You accept the quote in writing (email or WhatsApp is fine).
  3. We issue a pro forma invoice. Your order is confirmed when we receive the deposit or full payment described in section 5, or when we confirm it in writing for approved credit accounts.

Stock availability is confirmed at the time of order confirmation. For large quantities we may source stock to order, in which case the lead time will be stated on the quote.

5. Payment

  • Accepted methods: M-Pesa, bank transfer for approved accounts, and card payment through our hosted checkout where the order is placed online.
  • A deposit of [Confirm: deposit percentage] is required to confirm an order, with the balance due [Confirm: timing, for example before dispatch or on collection].
  • Credit terms: [Confirm: whether credit terms are offered, to whom and on what conditions]. Where credit is granted, invoices are payable within the agreed period and we may suspend supply while invoices are overdue. [Confirm: late payment interest or fees].
  • Bank details are shown on our invoices. Please always confirm bank details with us by phone before paying, and quote your invoice number on the transfer. We will never change our bank details by email alone.
  • Ownership of goods passes to you when we have received full payment. Until then the goods remain our property, even if they have been delivered.

6. Delivery and collection

  • Wholesale orders can be collected from our Nairobi store or delivered by courier or transporter anywhere in Kenya. Delivery costs for bulk consignments are quoted per order and depend on volume, weight and destination.
  • Lead times stated on quotes are estimates: [Confirm: typical lead times for stocked and sourced items]. We will keep you informed of progress, but we are not liable for delays caused by suppliers, carriers or events outside our reasonable control.
  • Please inspect consignments on receipt and note any shortages or visible damage on the delivery note before signing.
  • Risk passes to you on delivery to your address or your nominated transporter, or on collection.

7. Defects, shortages and returns

  • Report shortages, incorrect items or defects within [Confirm: number of days] of receipt, with your invoice number and photos.
  • Where a claim is accepted, we will at our option replace the items, issue a credit note or refund the affected items. [Confirm: preferred remedy].
  • Wholesale orders are not eligible for change-of-mind returns or exchanges, since stock is often reserved or sourced specifically for your order. We may agree exceptions in writing.
  • Minor variations in colour shade or trim between production batches are normal in garment manufacturing and are not defects unless they fall outside the agreed specification.

8. Cancellation

You may cancel a confirmed order before we have begun preparing or sourcing it, subject to our written agreement. Where we have already committed costs, the deposit or a reasonable portion of it may be retained to cover them. Orders for sourced or customised stock cannot be cancelled once sourcing has begun. [Confirm: cancellation terms].

9. Resale and use of our brand

  • You may resell our products through your own shop, website or channels. [Confirm: any restrictions, for example on marketplaces or pricing].
  • You may not represent yourself as Jambo Fashion House, use our name or logo in your trading name, or suggest that we endorse your business without our written permission.
  • Product photography and descriptions may be used to promote products you have bought from us, provided they are not altered in a misleading way. [Confirm: relabelling and brand use rules].

10. Liability

Our total liability in connection with a wholesale order is limited to the price paid for that order, except for liability that cannot be limited by law, including death or personal injury caused by negligence or fraud. We are not liable for loss of profit, loss of business or indirect losses. [Confirm: limitation wording approved by counsel].

11. Data protection

We process the personal data of your staff and signatories in line with our privacy policy and the Data Protection Act, 2019.

12. Governing law

These terms are governed by the laws of Kenya. Disputes will first be raised with us directly so we can try to resolve them. If that fails, disputes will be dealt with by [Confirm: chosen forum].
